These Terms of Service (“Terms”) govern your access to and use of the products and services provided by NOVA AI Digital (“we,” “us,” “our”), including our website and subscription-based AI tools (collectively, the “Services”).

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent that you meet these requirements and have authority to enter into these Terms.

3. Accounts and Security

You may need an account to access certain features.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You agree to provide accurate information and keep it updated.

Notify us promptly if you suspect unauthorized access or a security breach involving your account.

4. Services Overview

We provide subscription-based AI software tools delivered through our web platform. Service features may change over time, and some features may be offered as beta/preview functionality. We may modify, suspend, or discontinue any part of the Services at any time, but we will make reasonable efforts to minimize disruption where feasible.

5. Subscriptions, Billing, and Taxes

5.1 Billing

Subscription fees are charged in advance on a monthly or annual basis (depending on the plan you select) and renew automatically unless cancelled. Billing may be handled by our payment processor (currently LemonSqueezy).

5.2 Cancellation

You may cancel your subscription at any time through your account settings or the billing portal where available. Cancellation stops future renewals. Unless required by law or explicitly stated in writing, fees already paid are non-refundable.

5.3 Taxes

You are responsible for any applicable taxes, duties, or governmental assessments associated with your purchase, except where we are required by law to collect them.

6. AI Features and Outputs

The Services may include AI-powered functionality that generates outputs based on your inputs. AI outputs may be inaccurate, incomplete, or inappropriate for your intended use. You are solely responsible for reviewing and verifying outputs before using them.

No professional advice: Outputs are not legal, medical, financial, or other professional advice.
Third-party providers: AI features may rely on third-party AI providers (e.g., OpenAI, Anthropic, Google Cloud AI).
Training: We do not use your submitted content to train our own AI models.

7. User Content

“User Content” means any text, files, data, prompts, or other materials you submit to the Services. You retain ownership of your User Content as between you and NOVA AI Digital.

You grant us a limited, non-exclusive license to host, transmit, process, and display your User Content solely to operate and provide the Services and to comply with law.

8. Acceptable Use

You agree not to use the Services to:

Violate any law or regulation, or infringe intellectual property or privacy rights.
Upload or process classified, export-controlled, or otherwise restricted information (including ITAR-controlled data) without a separate written agreement.
Upload protected health information (HIPAA) or other regulated data unless a separate written agreement explicitly permits it.
Attempt to probe, scan, or test the vulnerability of the Services or bypass security measures.
Interfere with or disrupt the Services (including sending malware, automation abuse, or excessive requests).
Use the Services to create or distribute harmful, fraudulent, or deceptive content.

We may suspend or terminate access if we reasonably believe you violated these Terms or pose a security or legal risk.

9. Intellectual Property

The Services (including software, design, branding, and documentation) are owned by NOVA AI Digital or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you, we reserve all rights in and to the Services.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

10. Third-Party Services

The Services may integrate with third-party services (such as payment processors, analytics, hosting providers, and AI providers). We are not responsible for third-party services, and your use of them may be subject to the third party’s terms and policies.

11. Disclaimers

The Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that outputs will be accurate or reliable.

12. Limitation of Liability

To the maximum extent permitted by law, NOVA AI Digital and its owners, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Services.

To the maximum extent permitted by law, our total liability for any claim arising out of or related to the Services will not exceed the amount you paid to us for the Services in the three (3) months preceding the event giving rise to the claim (or $100 if you have paid nothing).

13. Indemnification

You agree to indemnify and hold harmless NOVA AI Digital and its owners, employees, contractors, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services, (b) your User Content, or (c) your violation of these Terms or applicable law.

14. Termination

You may stop using the Services at any time.

We may suspend or terminate your access to the Services if we reasonably believe you violated these Terms, pose a security risk, or if required by law.

Upon termination, your right to use the Services will cease immediately. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

15. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Services will be brought exclusively in state or federal courts located in Virginia, and you consent to personal jurisdiction and venue in those courts.

16. Changes to These Terms

We may update these Terms from time to time. The updated version will be indicated by the “Last updated” date. Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.
